These Terms of Use ("Terms") govern your access to and use of the websites, mobile applications and other online services operated by Woverp Management Consultants Private Limited, a company incorporated under the Companies Act, 2013 in India (CIN: U74999KA2017PTC107838), having its registered office at #35, Ground Floor, 2nd Cross, Jogpalya, Halasuru, Bengaluru – 560008, Karnataka, India (referred to in these Terms as "Woverp", "the firm", "we", "us" or "our"). The firm carries on its advisory practice under the brand "Kompound".
By accessing or using our websites or applications (together, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
You may use the Services only if you are eighteen years of age or older and are competent to enter into a binding contract under applicable law. If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for lawful, personal or internal business purposes, in accordance with these Terms. All rights not expressly granted to you are reserved by us.

If you submit feedback, suggestions or ideas to us regarding the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them, without any obligation or compensation to you.
Where the Services allow you to upload, submit or otherwise make available any content ("User Content"), you retain ownership of your User Content. You grant us a non-exclusive, royalty-free, worldwide licence to host, store, process, transmit and display your User Content for the limited purposes of operating and providing the Services to you.
You represent and warrant that you have all rights necessary to grant the licence above and that your User Content does not violate any law or the rights of any third party.
The information, materials and tools provided through our websites and applications are made available for general informational and operational purposes only. Unless we have entered into a separate written engagement letter with you that expressly provides otherwise, the Services do not constitute, and should not be relied on as, professional advice — whether legal, accounting, tax, financial, investment or otherwise.

Our aggregate liability under or in connection with these Terms will not exceed the amount, if any, that you have paid to us for the use of the Services in the twelve months immediately preceding the event giving rise to the liability.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
You agree to indemnify and hold harmless Woverp and its directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your access to or use of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any applicable law or the rights of any third party.
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we reasonably believe that you have breached these Terms or that suspension or termination is necessary to protect the Services, our users or any third party. On termination, your right to use the Services will cease immediately; the provisions that by their nature are intended to survive termination will continue in effect.
We may modify, suspend or discontinue the Services, or any feature of them, at any time. We may also amend these Terms from time to time. When we amend these Terms, we will update the "Effective from" date above. Material changes will be communicated through our websites or applications, or directly to you, before they take effect. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the amended Terms.
These Terms and any dispute or claim arising out of or in connection with them are governed by, and construed in accordance with, the laws of India. Subject to the right of either party to seek interim or injunctive relief in any court of competent jurisdiction, the courts at Bengaluru, Karnataka, India will have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.
These Terms, together with our Privacy Policy and any engagement letter or other written agreement between you and Woverp, constitute the entire agreement between you and us in respect of the Services and supersede all prior understandings on that subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision will not be a waiver of that provision.
